ADDENDUM 2

Minutes of Pre-Tender Meeting


In accordance with Article 28 of the Public Procurement Law, Invitation to Tender No. 05-1/06 and Tender Documents, the Pre-Tender Meeting with regards to the construction and Commissioning of High School of Medicine and Bureau for Educational Services, Examination Centre and Centre for Vocational Education - Lot II was held at 12h on February 27, 2006.

Upon the Promoter compiled Power of Attorney of each present Tenderer and made relevant introductory line, the Tenderers raised the issues herein replied to by the Promoter.

Question1: What is the source of finance for the buildings entering the scope of the said Tender?


Answer 1: The works are financed from the Loan provided under the Loan Agreement signed between the Government of the Republic of Hungary and the Government of Montenegro, through Exim Bank, Hungary.

Payments will be made in accordance with Tender Documents and upon receipt of the monthly Interim Payment Certificate verified by the Promoter.

Question 2: What needs for a Company to get registered office in Montenegro after the Contract signing? Which are applicable fees?

Answer 2: Registration of branches of the foreign business organisations and the pertaining documents and information is defined in the Business Organisation Law (OJ of the Republic of Montenegro No. 06/02)
Registration fee for the foreign business organisation office with the Central Register of the Economic Court is 200 .
Registration Agency charges are approximately 300 .

Question 3: Could we receive Tender Documents Book III Bill of Quantity in the electronic form??

Answer 3: Tender Documents Book III Bill of Quantity will be delivered to each Tenderer having purchased the Tender Documents and those intending to in the electronic form .

Question 4: Could we obtain Design Documents (layouts, cross sections, elevations, existing conditions, locations and soil mechanics for the concerned buildings?

Answer 4: Requested Design Documents will be delivered to each Tenderer having purchased the Tender Documents and those intending to in the electronic form.

Question 5: Which contract model is applied?

Answer 5: Invitation to Tender and Tender Documents (Book I), Contract Terms and Conditions clearly specify the Unit-Price based Contract.

Question 6: How do you plan to calculate additional and incidental works?

Answer 6: Payment of additional and incidental works is defined in conformity with Tender Documents, Book I, Part IV, Article 6 and Part V Elements for prices out of Bill of Quantity.

Question 7: Could you precisely specify the works entering the scope of this Tender?

Answer 7: The within the scope of this Tender are: building works, construction trades, installation works (water supply and sewage system, electrical services and heating, air-conditioning and ventilation), landscaping with connections to infrastructure and commissioning works. All the works are specified in Book III, Tender Documents.

Question 8: Who bears expenses of the temporary site connections?

Reply 8: The temporary site connections will be at expense of the Contractor.
The costs include following items:
- Temporary connection to the water supply system, power supply system and PTT network,
- All the costs referring to the site establishment.

Question 9: Should a Contractor from Hungary decide to enter a Joint Venture with a company from Montenegro, which would be the qualified contractor for this kind of cooperation?

Answer 9: Each Company registered for the activity including the works within the scope of this Tender are allowed to enter the Tender. Please find information on the companies on the website of the Central register of the economic Court, Podgorica

Question 10: Is the awarded Contractor due to develop Design Documents??

Answer 10: Upon the Contract Agreement signing and introducing Contractor to the works, the Promoter will furnish the Contractor with the Final Design to be adhered to. Should there be need for a Detailed Design in the course of project, the Contractor will submit the latter to the Promoter for approval, and will be due to follow the approved Design thereafter.
In accordance with Tender Documents (Book I) Part IV, Contract Terms and Conditions, Article 21, the Contractor shall produce As-Built Drawings and submit it to the Promoter for review and approval.
Please note, that the costs of the As-Built Drawings development will not be extra calculated.

Question 11: If there would be necessary to occupy some other public area in the course of project, who is responsible to provide this area?

Answer11: The Beneficiary is due to provide location. Should there be necessary to occupy additional public area, the Beneficiary will also be engaged in providing the latter.

Question 12: Who shall obtain the Building Permit?

Answer12: Beneficiary is responsible for the Building Permit.

Question 13 Are the projected site locations already available for the concerned works?

Answer 13: Yes, the site locations are already available for the concerned works.

Question 14: Have there been archaeological excavations executed on the said locations?

Answer 14: There have been no archaeological excavations executed on the said locations, and in accordance with Tender Documents (Book I, Part IV, Contract Terms and Conditions, Article 17), in case of unforeseen discovery of objects of historical or other interest, or unapprised value on the site, these objects will be deemed for governmental property, or local authorities property as defined by the Law. The Contractor shall inform the Supervising Authority on any such discovery and the latter will act according to the Law.

Question 15: Which local authority should be reported on the start of works? Who is responsible for addressing local authority? To whom are the applicable fees paid and to which amount?

Answer 15: The Promoter is responsible to officially register the start of works.

Question 16: Who will bear costs for building connections to the power supply system, water supply and sewage system and PTT network?

Answer 16: The Promoter shall bear said costs through the approvals which necessary for obtaining the building permit.

Question 17: Are there any limitations to the Contractors working hours with respect to the applicable local law?

Answer 17: There are no limitations to the working hours for the concerned construction works.

Question 18: How and with whom is validated a foreign construction licence in Montenegro?

Answer 18: Chamber of Engineers of Montenegro is responsible for validation of all the licences.

Question 19: Are the EU certificates for the imported materials eligible?

Answer 19: Each certificate not being in collision with the standards applicable in Montenegro will be deemed eligible.

Question 20: Who is responsible for the geodetic marks?

Answer 20: Upon the Promoters request, the Real Estate Directorate performs the site surveying with the referenced points for the building geodetic marks.

Question 21: After the earthworks completed, are these to be reported to the Real Estate Directorate - Cadastre??

Answer 21: Effective local law referring to the construction of buildings does not require registration of these with the Real Estate Directorate. Only when the works are completed, the new built building will be surveyed and individual parts subject to detail elaboration.

Question 22: Upon completion of works and Technical
Approval, which are the duties of the Contractor?

Answer 22: As specified in Technical Documents, Book I, Part IV, Contract Terms and Conditions, Article 43 and Article 44.

Question 23: In case of import of goods from Hungary and tax payment to the authorities, could we immediately forward the invoice for compensation to the Promoter Directorate for Public Works?

Answer 23: Payment of all incurred expenses pertaining to the construction and inclusive of the import of materials will be paid made through the verified monthly Interim Payment Certificates.

Question 24: In case of import of goods from Hungary, what will be the clearance procedure on the border crossing?

Answer 24: Clearance of the imported of goods will be in accordance with the Law on Customs Tariff (OJ of the Republic of Montenegro No. 75/05)

Question 25: Is the Contract Agreement given in Tender Documents (Book II) final?

Answer 25: Tender Documents (Book II) shows Draft Contract that is subject to the prior approval of the Tenderer and will be amended accordingly before signing.

Question 26: When may the Contractor expect to receive the Building Permit?

Answer 26: Immediately before start of works, the Promoter will furnish the Contractor with all necessary documents as well as with the Building Permit through the appointed Supervising Authority.

Question 27: When may the Contractor expect to receive approval for start of works?

Answer 27: After the Contract signing, the appointed Supervising Authority will officially handover the site to the Contractor through registration in the logbook, enabling the latter to start with works.

Question 28: Based upon which technical documents will the works be executed?

Answer 28: The works will be executed in accordance with the Final Design.

Question 29: Have the said locations been subject to the geomechanical survey?

Answer 29: There is a Project study on geotechnical properties of terrain for the concerned structures.

Question 30: Which is the governing language for the building site documents?

Answer 30: The governing language for this tender is English. If possible, the building site documents will be maintained in Montenegrin Language.

Question 31: Who is responsible to obtain all necessary approvals/permits (power, water supply, PTT, fire protection, environmental, sanitary, traffic and who bears the pertaining expenses?

Answer 31: Beneficiary is due to obtain all the necessary approvals/permits and bear all the pertaining costs. All these approvals/permits form a part of the building permit.

Question 32: What will be the role of the Company after registered in Montenegro afterwards?

Answer 32: This question is replied by the Ministry of Finance of the Republic of Montenegro
After registration of the foreign legal entity in the Republic of Montenegro, in this precise case the Company from Hungary the Contractor, the business affairs of the latter with respect to the payment of VAT, duty and other levies will be subject to the effective regulations of the Republic of Montenegro.

Question 33: What will be the payment procedure after submission of the monthly Interim Payment Certificates?

Answer 33: This question is replied by the Ministry of Finance of the Republic of Montenegro
Once the verified Interim Payment Certificates for the referent works is submitted, Eximbank will proceed with the payment transfer to the Contractor.
